Vero Education Terms and Conditions

Welcome to Vero Education ("Vero Education", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of:
- • Our password-restricted platform, associated applications, software, and products (together, the "Platform"), branded as Vero Education.
- • Our publicly available websites ("Sites").
- • Any related services ("Services").
By accessing or using the Platform, Sites, or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use the Platform, Sites, or Services.
These Terms incorporate by reference our Privacy Policy (the "Privacy Policy"), which is the definitive source of information about how we collect, use, store, and share your personal information. If there is any inconsistency or conflict between these Terms and our Privacy Policy regarding the handling of personal information, the Privacy Policy will prevail to the extent of that inconsistency.
1. Definitions
1.1 "Account" means your user account for accessing and using the Platform.
1.2 "Authorised User" means an individual who is authorised to access the Platform under a valid Subscription. This includes teachers, administrators, or other staff at an Educational Institution, as well as students who have been granted access to the Platform.
1.3 "Content" means any text, images, graphics, audio or video recordings, lesson materials, resources, or other materials available through the Platform or Services, including User-Generated Content and Vero Education proprietary content.
1.4 "Educational Institution" means a school or other organisation that has entered into a Subscription with Vero Education on behalf of its teachers, administrators, and students.
1.5 "Fees" means any subscription fees, licensing fees, or related charges payable to Vero Education for access to and use of the Platform, Sites, or Services.
1.6 "Subscription" means the commercial arrangement you or your Educational Institution has entered into with Vero Education for access to and use of the Platform, Sites, or Services (whether paid, trial, or free).
1.7 "User," "you," or "your" means any person (including teachers, administrators, parents, guardians, or students) accessing or using the Platform, Sites, or Services, whether directly or indirectly through an Educational Institution.
2. Acceptance of These Terms
2.1 Binding Agreement
By accessing or using the Platform, Sites, or Services in any way, you represent that you have read and agree to be bound by these Terms. If you are accepting these Terms on behalf of an Educational Institution, you warrant that you have the authority to bind that institution, and "you" will refer to both you and the institution.
2.2 Age Requirements; Parental/Guardian Consent
- • If you are under 18 years of age, you must have parental or legal guardian permission to use our Platform.
- • Students under any minimum age requirement set by their local laws or their Educational Institution's policies may only access or use the Platform if their Educational Institution (via a teacher or administrator) has obtained all required parental or guardian consents.
2.3 Additional Policies
Your use of the Platform, Sites, or Services is also governed by our Privacy Policy. By using our Platform, Sites, or Services, you agree to the terms of our Privacy Policy.
3. Subscriptions
3.1 Types of Subscriptions
Vero Education offers various Subscription models, which may include but are not limited to:
- • School/Educational Institution Subscriptions: Purchased by schools or other institutions on behalf of their Authorised Users (teachers, administrators, and students).
- • Individual ("Personal") Subscriptions: Purchased directly by an individual teacher, administrator, or parent/guardian for personal or family use.
- • Free or Trial Subscriptions: Offered at our discretion for evaluation or other limited purposes.
3.2 Subscription Terms
The specific details of your Subscription (including duration, Fees, renewal processes, and features) are set out in your Subscription Order Form or separate agreement. In case of any direct conflict between that agreement and these Terms, the specific terms of the Subscription Order Form will prevail (except where privacy matters are concerned; the Privacy Policy will control).
3.3 Payment of Fees
You (or your Educational Institution) must pay all Fees associated with your Subscription when due, as specified in your Order Form or invoice. If Fees remain unpaid, Vero Education may suspend or terminate your Subscription and access to the Platform, Sites, or Services. All prices and Fees are in Australian dollars unless otherwise noted and are exclusive of GST.
3.4 Subscription Expiry and Non-Renewal
- • No Automatic Renewal: Subscriptions typically do not renew automatically. Your Subscription ends at the conclusion of the term unless otherwise agreed in writing.
- • Continuation: If you wish to extend your use of the Platform, you must renew or extend your Subscription before it expires.
- • Cancellation: If you cancel your Subscription before its end date, no refunds or credits will be provided unless required by law or expressly stated in your Subscription Order Form.
3.5 Free or Trial Subscriptions
If you use the Platform under a free or trial Subscription, we may change, suspend, or terminate your access at any time without notice. Trial Subscriptions are for evaluation purposes only and may have limited functionality.
4. User Accounts and Responsibilities
4.1 Account Creation
Students cannot create their own Accounts directly. Teachers, administrators, or authorised representatives of an Educational Institution must create Student Accounts on their behalf, ensuring all necessary consents have been obtained in compliance with the Privacy Policy.
4.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials. You agree to notify Vero Education immediately if you suspect any unauthorised use of your Account or other security breaches. We are not liable for any loss or damage resulting from your failure to safeguard your credentials.
4.3 Accurate Information
You must provide accurate and current information for your Account. Promptly update your information if it changes.
5. Licence and Platform Use
5.1 Limited Licence
Subject to these Terms and your ongoing compliance, Vero Education grants you a non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform, Sites, and Services for your internal, non-commercial, educational purposes.
5.2 Restrictions on Use
Except as permitted by law or explicitly stated in these Terms, you agree not to:
- • Modify, reverse-engineer, decompile, or disassemble any part of the Platform or its underlying software.
- • Copy, reproduce, duplicate, sell, resell, or exploit any Content from the Platform for commercial purposes unless clearly allowed (e.g., under a Creative Commons licence indicated by Vero Education).
- • Use the Platform for any unlawful, defamatory, harassing, obscene, or fraudulent activities, or in any way that infringes on third-party rights.
- • Interfere with, disrupt, or attempt to gain unauthorised access to the Platform, its systems, networks, or other Users' Accounts.
5.3 Compliance with Laws
You must comply with all applicable laws and regulations, including Australian federal and state/territory laws, when using the Platform, Sites, or Services.
6. Intellectual Property Rights
6.1 Ownership
All intellectual property rights in and to the Platform, Sites, Services, and all related Content (except for User-Generated Content) belong to Vero Education or its licensors. No rights or licences are granted to you except as specifically provided in these Terms.
6.2 User-Generated Content
When you upload, submit, or create content on the Platform ("User-Generated Content"), you represent that you have all necessary rights to do so.
Licence Grant: You grant Vero Education and its service providers a non-exclusive, worldwide, royalty-free, non-commercial licence to host, display, format, and process your User-Generated Content as needed to operate, maintain, and enhance the Platform, Sites, or Services.
Removal: We reserve the right to remove User-Generated Content at our discretion if we believe it violates these Terms or any applicable law.
6.3 Feedback
Any feedback, suggestions, or ideas you submit to us may be used by Vero Education without obligation, including for product or service improvements and enhancements.
7. Privacy and Data Protection
7.1 Privacy Policy
Our Privacy Policy is the sole and controlling document that explains how we collect, use, store, and disclose your personal information, including any information provided by or about students. By using our Platform, Sites, or Services, you acknowledge and agree that you have reviewed and accept our Privacy Policy.
7.2 Compliance with Privacy Laws
We handle personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. Any specific questions regarding personal data practices, data storage, data handling, or related issues should be addressed by reviewing our Privacy Policy or contacting our Privacy Officer.
7.3 Student Data
Vero Education does not sell, rent, or trade student personal information to third parties for marketing purposes. We rely on Educational Institutions to secure any necessary parental or guardian consents before providing student personal information to us. 8. Disclaimers and Limitations of Liability
8.1 Disclaimer of Warranties
To the maximum extent permitted by law, the Platform, Sites, and Services are provided on an "as is" and "as available" basis. Vero Education makes no warranties or representations about the suitability, reliability, availability, timeliness, or accuracy of the Platform, Sites, or Services.
8.2 Australian Consumer Law
Nothing in these Terms excludes or limits any rights you have under the Competition and Consumer Act 2010 (Cth) or other applicable laws that cannot be lawfully excluded. Where statutory guarantees apply, our liability for any breach of those guarantees will be limited to supplying the services again or paying the cost of having the services supplied again, as allowed by law.
8.3 Limitation of Liability
To the fullest extent permissible by law, Vero Education (and its officers, directors, employees, agents, or licensors) will not be liable for any indirect, special, punitive, incidental, or consequential damages arising out of or related to your use of the Platform, Sites, or Services. Where Vero Education is found liable to you for any damage or loss, our total liability will not exceed AUD $100 or the total amount of Fees you paid in the twelve (12) months prior to the event giving rise to the claim, whichever is greater.
9. Indemnity
You agree to indemnify and hold harmless Vero Education (including its affiliates, directors, officers, employees, and agents) from and against all claims, losses, expenses, damages, and liabilities (including legal fees) arising out of your breach of these Terms, your use of the Platform, Sites, or Services, or your violation of any law or third-party rights.
10. Termination and Suspension
10.1 Termination by You
You may stop using the Platform at any time. If you wish to terminate your Subscription, refer to your Subscription Order Form for any cancellation or termination provisions.
10.2 Termination or Suspension by Vero Education
We may suspend or terminate your access to the Platform, Sites, or Services at any time if:
- • You breach these Terms.
- • You fail to pay any Fees when due.
- • We are required to do so by law or for security reasons.
Such termination may be immediate and without notice. Any Fees paid prior to termination are non-refundable except as required by law or stated in your Subscription Order Form.
10.3 Effects of Termination
Upon termination:
- • Your rights and licences under these Terms immediately cease.
- • You must stop using and accessing the Platform, Sites, and Services.
- • Any outstanding payment obligations remain due.
11. Changes to the Platform or Terms
11.1 Modifications
We may update or modify the Platform, Sites, or Services at any time. We will attempt to provide notice for any material changes whenever feasible.
11.2 Updates to These Terms
We may revise these Terms to reflect changes in our practices or legal requirements. If the changes are material, we will notify you (for example, by posting a notice on the Platform or Sites). Your continued use of the Platform, Sites, or Services after such changes go into effect signifies your acceptance of the revised Terms.
12. Maintenance and Downtime
12.1 Scheduled Maintenance
From time to time, Vero Education may perform scheduled maintenance or upgrades. We will make reasonable efforts to inform you in advance of any planned downtime.
12.2 Unscheduled Downtime
The Platform, Sites, or Services may be temporarily unavailable due to unscheduled interruptions, such as internet or system outages. We will use reasonable efforts to restore services as soon as practicable.
12.3 No Liability for Downtime
Vero Education is not liable for any losses or damages resulting from any scheduled or unscheduled downtime. You are encouraged to maintain backup copies of any important data or content used on or through the Platform.
13. Miscellaneous
13.1 Governing Law
These Terms are governed by the laws of Queensland, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of Queensland for the resolution of any disputes.
13.2 No Third-Party Beneficiaries
These Terms do not confer any rights on any third party.
13.3 Entire Agreement
These Terms, together with your Subscription Order Form (if applicable) and the Privacy Policy, constitute the entire agreement between you and Vero Education regarding your use of the Platform, Sites, and Services.
13.4 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed, and the remaining provisions will remain in full force and effect.
13.5 Waiver
No waiver of any provision of these Terms by Vero Education will be effective unless in writing and signed by an authorised representative. A failure to assert any right under these Terms is not a waiver of that right.
13.6 Assignment
You may not assign or transfer these Terms or any rights or obligations without our prior written consent. We may assign or transfer these Terms at our discretion without notice.
